Terms of Service

These Terms of Service ("Terms") govern your access to and use of servista.ai websites, applications, and related services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Who we are

The Services are provided by servista.ai ("servista.ai," "we," "us," or "our"). If you use the Services on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. The Services

servista.ai provides software and related services intended to help appointment-based businesses manage scheduling, client interactions, commerce, and related workflows. We may modify, suspend, or discontinue features with reasonable notice where practicable.

3. Accounts and security

You are responsible for:

• Providing accurate account information and keeping it up to date.
• Maintaining the confidentiality of credentials and restricting access to your account.
• All activity that occurs under your account, subject to reasonable security measures.

4. Plans, billing, and taxes

We offer a free plan with usage limits and paid plans with additional entitlements as described on our pricing page. Paid fees are billed in advance according to the plan you select. You authorize us to charge your payment method for applicable fees. You are responsible for applicable taxes, except taxes based on our net income.

You may cancel paid subscriptions according to the cancellation process in the product. Unless otherwise required by law, fees are generally non-refundable except as explicitly stated in writing or required by applicable law.

5. Acceptable use

You agree not to:

• Violate applicable laws or third-party rights.
• Attempt to gain unauthorized access to the Services or related systems.
• Interfere with or disrupt the integrity or performance of the Services.
• Use the Services to send unlawful, harassing, or deceptive communications.
• Reverse engineer or attempt to extract source code except where permitted by law.
• Use the Services to build a competing product or to benchmark the Services for public publication without our prior written consent.

6. Customer data and privacy

You retain rights to data you submit to the Services ("Customer Data"), subject to these Terms. You grant us a limited license to host, process, and display Customer Data solely to provide and improve the Services. You are responsible for the legality of Customer Data and for obtaining any necessary consents.

Our Privacy Policy explains how we handle personal information. If you process regulated health data, you are responsible for ensuring your use of the Services complies with applicable laws, agreements, and your own policies (including HIPAA where applicable). servista.ai does not independently certify HIPAA compliance for your organization.

7. Intellectual property

We own the Services, including software, branding, and documentation, subject to your rights in Customer Data. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

8. Third-party services

The Services may integrate with third-party services. Your use of third-party services is governed by their terms, and we are not responsible for third-party content or practices.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERVISTA.AI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

Some jurisdictions do not allow certain limitations; in those cases, our liability will be limited to the fullest extent permitted by law.

11. Indemnity

You will indemnify and hold harmless servista.ai and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services, Customer Data, or violation of these Terms.

12. Suspension and termination

We may suspend or terminate access to the Services if you materially breach these Terms, create risk or possible legal exposure, or for other legitimate operational reasons. You may stop using the Services at any time. Provisions that by their nature should survive will survive termination.

13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. Except where prohibited by law, you agree that disputes will be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.

14. Changes

We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. If a change is material, we will provide additional notice where appropriate. Continued use after changes constitutes acceptance.
